SECTION X: LIFETIME ACCESS DEFINITION AND TERMS

X.1 Definition of "Lifetime Access"

"Lifetime Access" refers to a one-time payment option that grants the purchaser ongoing access to the specific tier features (Empower or Accelerate) for the duration that HERIntelAI Systems LLC ("HERIntelAI," "we," "us") actively maintains and operates the AI Grant Strategist product.

X.2 Scope of Lifetime Access

Lifetime Access includes:

a) Ongoing Functionality: Continued access to all features within the purchased tier as they exist at the time of purchase and as they evolve through routine updates.

b) Feature Updates: All improvements, enhancements, and additions to existing features within the purchased tier at no additional cost.

c) Maintenance: Bug fixes, security patches, and routine technical maintenance necessary to keep the product operational.

d) Standard Support: Access to customer support services as defined in Section [Y] of these Terms, with response times appropriate to the purchased tier.

e) Platform Access: Continued ability to use the AI Grant Strategist GPT and any associated tools within the purchased tier.

X.3 Exclusions from Lifetime Access

Lifetime Access does NOT include:

a) Higher Tier Features: Lifetime Empower access does not include Accelerate tier features. Lifetime Accelerate access does not include any features from future premium tiers.

b) Separate Product Lines: Access to other HERIntelAI products, services, or tools not specifically part of AI Grant Strategist.

c) Major Version Upgrades: If HERIntelAI releases a fundamentally redesigned version (e.g., "AI Grant Strategist 2.0"), Lifetime Access members may be offered discounted upgrade pricing but are not automatically entitled to the new version.

d) Platform Migrations: If AI Grant Strategist is completely rebuilt on a different technical platform, Lifetime Access members may be offered migration to the new platform at preferential rates, but migration is not automatically guaranteed.

e) Third-Party Services: Any features that require third-party services, APIs, or subscriptions that become unavailable, cost-prohibitive, or legally restricted.

f) Priority or Enhanced Support: Unless specifically included in the Accelerate tier, priority support, phone support, or concierge services are not included in standard Lifetime Access.

X.4 Product Discontinuation

In the event that HERIntelAI decides to discontinue the AI Grant Strategist product:

a) Notice Period: Lifetime Access holders will receive a minimum of ninety (90) days advance written notice via email.

b) Remedy Options: HERIntelAI will offer Lifetime Access holders ONE of the following remedies:

  • Pro-rated Refund: A refund calculated as the original purchase price minus (original purchase price ÷ 60 months × months of access received), with a minimum refund of 25% of the original purchase price, regardless of usage duration.

  • Successor Product Access: Complimentary access to any successor product or service HERIntelAI launches within 12 months of discontinuation, at an equivalent tier level.

  • Extended Access: Continued access to AI Grant Strategist in "maintenance mode" for an additional 6-12 months beyond the discontinuation date, with limited or no support.

c) Business Transfer: If HERIntelAI sells, transfers, or assigns the AI Grant Strategist product to a third party, that party assumes all Lifetime Access obligations, or Lifetime Access holders receive the remedy options listed in X.4(b).

X.5 Feature Sunset Provision

HERIntelAI reserves the right to discontinue specific features within AI Grant Strategist if:

a) The feature becomes technically infeasible to maintain. b) The feature depends on third-party services that become unavailable. c) The feature creates legal, security, or compliance risks. d) The feature is used by fewer than 5% of active users for three consecutive months

Notice and Remedy:

  • Minimum 60 days notice before sunsetting any feature

  • If a core feature (as defined in your tier description) is sunset, affected Lifetime Access holders may request a pro-rated partial refund or free upgrade to a higher tier

X.6 Upgrade Rights

Lifetime Access holders may upgrade to a higher tier by:

a) Tier Upgrade: Paying the difference between their original purchase price and the current price of the higher tier.

b) Example: A Lifetime Empower holder who paid $297 (or $247 Founding Member) can upgrade to Lifetime Accelerate by paying the difference between their original price and the Accelerate lifetime price.

c) Founder Advantage: Founding Members who upgrade maintain Founding Member pricing for the higher tier.

d) Upgrade Window: Upgrade pricing is guaranteed for 12 months from the original purchase. After 12 months, standard upgrade pricing applies.

X.7 Refund Policy for Lifetime Access

a) 30-Day Money-Back Guarantee: Lifetime Access purchases may be refunded in full within 30 days of purchase, no questions asked.

b) After 30 Days: Lifetime Access purchases are non-refundable except as specified in Section X.4 (Product Discontinuation) or X.5 (Feature Sunset).

c) Abuse Prevention: HERIntelAI reserves the right to deny refunds in cases of abuse, including but not limited to: purchasing lifetime access, extracting substantial content or templates, then requesting a refund.

X.8 Account Termination

HERIntelAI reserves the right to terminate Lifetime Access if:

a) The account holder violates these Terms of Service. b) The account is used for fraudulent, illegal, or unethical purposes. c) The account holder attempts to share, resell, or transfer access in violation of Section [Z] (Account Sharing)

Remedy: In cases of termination for Terms violations, the Lifetime Access holder is not entitled to a refund but may appeal the termination decision within 30 days.

X.9 Changes to Lifetime Access Terms

HERIntelAI may update these Lifetime Access terms with 90 days notice to existing Lifetime Access holders. Changes will not retroactively reduce benefits already purchased.

If material changes make Lifetime Access substantially less valuable than at purchase, affected holders may request a pro-rated refund or equivalent credit toward other HERIntelAI services.

X.10 Transferability

Lifetime Access is NON-TRANSFERABLE except:

a) Within Organization: Nonprofit or business accounts may reassign Lifetime Access to a different employee/member within the same legal entity.

b) Estate Transfer: In the event of the account holder's death, Lifetime Access may be transferred to a designated beneficiary with proper documentation.

c) Prohibited Transfers: Lifetime Access may NOT be sold, gifted, or transferred to unrelated third parties.

X.11 Pricing Guarantee

a) Founding Members: Founding Members who purchase Lifetime Access are permanently locked into their Founding Member price and entitled to all future standard feature updates at no additional cost.

b) Standard Rate Holders: Lifetime Access holders who purchased at standard rates are also locked into their purchase price with no future charges for standard updates.

c) No Degradation: HERIntelAI will not intentionally degrade Lifetime Access accounts to encourage upgrades or repurchases.

X.12 Technical Support

Lifetime Access includes Standard Support as follows:

Empower Tier:

  • Email support with a 48-hour response time

  • Access to documentation and help resources

  • Bug reports and troubleshooting assistance

Accelerate Tier:

  • Priority email support with 24-hour response time

  • Access to documentation and help resources

  • Bug reports and troubleshooting assistance

  • Quarterly 15-minute strategy consultation

Support is provided during normal business hours (Monday-Friday, 9 am-5 pm Pacific Time, excluding holidays).

X.13 Force Majeure

HERIntelAI is not liable for failure to provide Lifetime Access due to circumstances beyond reasonable control, including but not limited to:

  • Acts of God, natural disasters, or extreme weather

  • War, terrorism, civil unrest, or government action

  • Internet or telecommunications failures not caused by HERIntelAI

  • Third-party service disruptions (e.g., ChatGPT platform outages)

  • Cyberattacks, hacking, or security breaches, despite reasonable precautions

In such events, HERIntelAI will make reasonable efforts to restore service and will communicate transparently with Lifetime Access holders about expected resolution timelines.

X.14 Dispute Resolution

Disputes related to Lifetime Access terms will be resolved through:

a) Good Faith Negotiation: 30-day period for direct resolution with HERIntelAI support. b) Mediation: If negotiation fails, non-binding mediation before an agreed neutral third party. c) Arbitration: Binding arbitration in accordance with [your state] laws if mediation is unsuccessful

X.15 Severability

If any provision of these Lifetime Access terms is found to be unenforceable, the remaining provisions remain in full effect.

ACKNOWLEDGMENT

By purchasing Lifetime Access, you acknowledge that you have read, understood, and agree to these terms, including the definitions, scope, exclusions, and limitations described herein.
